1. THE CONTRACTA

contract shall be deemed to have been made between WPS Seating Limited. (“Seller”) and the booking client (“Buyer”) when the Buyer has confirmed requirements by telephone, secure online order, email or order form and WPS Seating Limited have accepted such a booking, subject to the availability of the relevant Tickets at the time of booking and to these terms and conditions. An Invoice or email Order Confirmation will be issued upon confirmation of a booking and shall constitute as proof of acceptance and creates a Contract subject to these conditions.

2. PRICE

2.1 Delivery is Free of Charge and included in your ticket price.2.2 All applicable taxes will be added at checkout and shall be paid by the Buyer.

2.3 Prices quoted and charged may be above the face - value of the Ticket and fluctuate (upwards or downwards) depending on demand at the time of the booking. Advertised prices may also change (upwards or downwards) after a booking being accepted.

3. PAYMENT

‍3.1 The full payment for the booking must be paid by the Buyer immediately upon acceptance of a booking. We accept American Express, Visa, and MasterCard, WePay, PayPal, Cheque and bank transfers.3.2 As a Buyer you grant WPS Seating Limited. permission to charge your selected payment method of American Express, Visa, and MasterCard, WePay, PayPal, Cheque and bank transfers.

3.2 Exceptions can be made for full payment with a non- refundable deposit agreement agreed between the Seller and Buyer in writing, with remaining amount due at a later date.

3.3 Once a booking has been made tickets cannot be exchanged or refunded. All sales are final. Any cancellations are at the discretion of WPS Seating Limited.

3.4 Exchange or voucher for the following year will be offered in the event of a cancelled event, and can only be claimed by the Buyer who made the booking.

3.5 The Buyer agrees that WPS Seating Limited. can provide the Buyer's name, address and contract details to the management, administration or officials of the All England Lawn Tennis Club.

4. LIABILITY OF THE SELLER “WPS Seating Limited”

‍4.1 The Buyer hereby acknowledges that the maximum liability of WPS Seating Limited. will be the full payment due under Clause

4.2 for a failure in delivering the tickets or any other loss suffered by the Buyer due to any act or omission by the Seller. The Seller will not be liable for any indirect losses including consequential, special or punitive damages including lost opportunity or loss of profits.

5. FAILURE TO PAY, CANCELLATION OR CHANGE REQUESTS BY THE BUYER

‍5.1 If payment is not made within the time limits in clauses 3 above, this will be a breach of contract by the Buyer entitling WPS Seating Limited to treat the contract as at an end and cancel the booking.

5.2 In the event of the Buyer retracting from the contract, WPS Seating Limited reserves the right to keep any payments that have been made by the Buyer.

5.3 Any notice of cancellation by the Buyer of a booking, or request for a change to a booking, must be made in writing by email or letter, and is only effective if accepted in writing by WPS Seating Limited

6. ALTERATIONS TO PURCHASED TICKETS AND PACKAGES

‍6.1 All advertised Tickets are subject to availability at the time of booking.

6.2 All events dates and timings may be altered or changed by the Venue and/or Promotor either before or after confirmation of a booking. Where such alterations or changes occur WPS Seating Limited. accepts no contractual liability.

6.3 WPS Seating Limited reserve the right to upgrade your order to the next available section

7. EVENT, VENUE AND CHANGES TO SCHEDULES

‍7.1 WPS Seating Limited has no control over the running of the Event and the Buyer gives no warranty and makes no representation that the event shall take place and WPS Seating Limited. shall not be liable to give any refund in the event of the Event being rescheduled or postponed. A credit in the form of a voucher will be rolled over for the following year with. No refund shall be issued.

7.2 It is the Client’s responsibility to ascertain whether an event has been cancelled, postponed or rescheduled and the date and time of any rescheduled Event. WPS Seating Limited will endeavour, where possible, to provide information to the Buyer of cancellations, postponements or rescheduled dates or time when known. WPS Seating Limited does not guarantee that the Client will be informed of such cancellation, postponement or rescheduling before the date of the Event.

7.3 If any Event is postponed, cancelled or abandoned (whether wholly or in part) any payments shall be rolled over to the following year in the form of a voucher with No refund shall be issued. WPS Seating Limited advises the Buyer to take out its own insurance to cover such risks.

7.4 No guarantees are given by WPS Seating Limited. that the Event will take place at a particular time or on a particular date and the Venue and/or thePromoter reserve the right to reschedule any such Event without notice and without any liability whatsoever.

7.5 WPS Seating Limited. accepts no control over the running of an Event or the Venue and accepts no liability for any acts on the part of persons organising the Event or operating the Venue or their servants, agents, employees or sub-contractors and makes no representation that any player or participant shall appear at the Event.

8. VENUE CONDITIONS AND LIABILITY OF WPS Seating Limited

‍8.1 The Buyer acknowledges that WPS Seating Limited. acts as agent of the Buyer in arranging the booking and that WPS Seating Limited. will not be liable for any misrepresentations, negligence or loss of any kind whatsoever suffered by the Buyer or their guests due to any act by or on behalf of the Venue and/or Promotor.

8.2 In any event WPS Seating Limited shall not be liable for death or personal injury suffered by the Buyer or it’s guests within an Event Venue.

8.3 WPS Seating Limited. shall not be liable for any loss or damage sustained by property or belongings of the Buyer or any of the Buyer’s guests or for any further costs, demands or expenses incurred or suffered by the Buyer arising out of the booking.

8.4 WPS Seating Limited. will not be liable for any changes in the Event beyond its control including but not limited to any act of god, natural disaster or act of terrorism.

8.5 Dress Codes: Formal or smart casual attire may be required and the Venue reserves the right to refuse admission to any person wearing inappropriate items of clothing and/or footwear or to require any such person to leave the Venue. Specific advice in relation to dress code will be included in the event information provided to the Buyer.

8.6 WPS Seating Limited. accepts no responsibility for any loss or damage to personal possessions brought into the Venue by the Buyer or its guests other than as caused as a result of the negligence of the Buyer or that of the Venue or the Promoter.

9. LAW & CONSTRUCTION

The Contract of these Terms and Conditions shall be governed by English Law and WPS Seating Limited. and the Buyer hereby submits to the exclusive jurisdiction of the English Courts in all matters regarding the contracts and these Terms and Conditions
